Welcome to Prizely (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Prizely website, mobile application, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

• You must be at least 18 years old and a legal resident of the United States to participate.
• The Services are void where prohibited by law.
• Employees, contractors, and family members of Prizely may be ineligible for certain giveaways.

2. Membership & Subscriptions

• Prizely offers both free and paid membership tiers.
• Paid subscriptions are billed on a recurring basis (monthly or annually) through Stripe or other payment providers.
• You may cancel your subscription at any time in your account settings. No refunds will be issued for partial billing periods.
• Exclusive Giveaways may be available only to paid members as a membership benefit.

3. Giveaways & Prizes

• Giveaways are governed by the Official Rules posted for each promotion.
• No purchase is necessary for public giveaways; free entry methods are available.
• Certain giveaways are restricted to paid members only (“Subscriber-Only Giveaways”) as part of their membership benefits.
• Winners are selected randomly from eligible entries. Odds depend on the number of entries received.
• Prizes are non-transferable, non-exchangeable, and may not be redeemed for cash.
• Winners are responsible for any applicable taxes, fees, or expenses associated with the prize.

4. Use of the Services

You agree not to:

• Interfere with or disrupt the Services.
• Attempt to manipulate entries, results, or system operations.
• Create multiple accounts to gain unfair advantages.
• Use bots, scripts, or automated tools to enter giveaways.

Violation of these rules may result in account termination and forfeiture of entries or prizes.

5. E-Commerce

• Prizely may sell merchandise through Shopify, Printify, or other vendors.
• Purchases may generate entries into giveaways, subject to the Official Rules.
• All sales are final unless otherwise stated.

6. Intellectual Property

All content, trademarks, logos, and designs on the Services are owned by Prizely or its licensors. You may not use, copy, or distribute them without permission.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

8. Disclaimers & Limitation of Liability

• The Services and prizes are provided “as is” without warranties of any kind.
• Prizely is not responsible for technical failures, errors, or delays beyond our control.
• Our liability to you is limited to the greater of: (a) the amount you paid for your subscription in the last 3 months, or (b) $100.

9. Termination

We may suspend or terminate your account at any time for violations of these Terms or other harmful behavior.

10. Governing Law

These Terms are governed by the laws of the State of [Your State], without regard to its conflict of laws principles.
